These Terms of Service govern your use of the websites and services provided by HumaticAI. HumaticAI is a trademark of UNILEVEL TRADING FZCO, located at Dubai Silicon Oasis, DDP, Building A2, Dubai, United Arab Emirates.

1. Use of the Services

You agree to use our websites and demos only for lawful purposes and in accordance with these Terms. You agree not to:

Reverse engineer, decompile, or access non-public features.
Use the services to infringe intellectual property or privacy rights.
Upload malicious code or attempt to disrupt our services.
Access or use the services for the purpose of building a competitive product or service, or for any other benchmarking or competitive purposes.
Use automated systems ("robots," "spiders," etc.) to access the service in a manner that sends more request messages to our servers than a human can reasonably produce in the same period by using a conventional web browser.

2. Intellectual Property

The services and all of their original content, features, and functionality are and will remain the exclusive property of UNILEVEL TRADING FZCO and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent. These Terms do not grant you any right, title, or interest in the services, our trademarks, or our other intellectual property. Without limiting the foregoing, all enhancements, updates, modifications, and derivative works to the services and underlying models (including any trained weights, fine‑tunings, or system prompts), and all learnings derived from aggregate usage data, are and will remain the sole property of UNILEVEL TRADING FZCO.

Customer Data and License

You retain all right, title, and interest in and to your data that you submit to the services ("Customer Data"). You grant UNILEVEL TRADING FZCO a non‑exclusive, worldwide, royalty‑free license to host, copy, process, transmit, and display Customer Data solely to provide, maintain, secure, and improve the services, and as otherwise required by law. We may generate and use aggregated and/or de‑identified data derived from Customer Data and service usage for analytics, security, and service improvement purposes, provided that such data does not identify you or your users. We do not sell Customer Data.

No Implied Licenses

Except for the limited rights expressly granted in these Terms, no other rights or licenses (by implication, estoppel, or otherwise) are granted to you under any intellectual property of UNILEVEL TRADING FZCO or its licensors. All rights not expressly granted are reserved.

3. Termination

We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

4. Disclaimers and Warranties

The services are provided “as is” and “as available” without warranties of any kind, either express or implied. This includes, but is not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the services will be uninterrupted, secure, or error-free.

5. Limitation of Liability

To the maximum extent permitted by law, UNILEVEL TRADING FZCO and its affiliates, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the services; (b) any unauthorized access to or use of our servers and/or any personal information stored therein.

6. Indemnification

You agree to indemnify and hold harmless UNILEVEL TRADING FZCO and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the services or your violation of these Terms.

7. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the United Arab Emirates. Any dispute arising from these Terms shall be resolved through final and binding arbitration in Dubai, UAE.

8. No Training, Extraction, or Benchmarking

You shall not (a) use the services, outputs, prompts, or logs to train, fine‑tune, or otherwise improve any machine learning, foundation, or generative models; (b) probe, scan, or otherwise attempt to extract model parameters, system prompts, or training data; (c) perform or publish benchmarks or performance comparisons without our prior written consent.

10. Service Changes

We reserve the right to modify, suspend, or discontinue the services (in whole or in part) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the services.

11. Feedback

If you send us ideas, suggestions, or other feedback regarding the services, you acknowledge and agree that we may use such feedback for any purpose, without compensation or credit to you, and you hereby grant UNILEVEL TRADING FZCO a perpetual, irrevocable, worldwide, royalty‑free license to use and exploit the feedback.

12. Export and Sanctions Compliance

You represent and warrant that you are not located in, under the control of, or a national or resident of any country or jurisdiction subject to U.N., U.S., EU, or UAE embargoes or sanctions, and you will not use the services in violation of applicable export control or sanctions laws.

13. Third‑Party Services and Links

The services may contain links to third‑party websites or integrate third‑party components. We do not control, endorse, or assume responsibility for any third‑party content, services, or policies, and we are not liable for any damages related to your use of third‑party resources.

14. Injunctive Relief

You acknowledge that any breach or threatened breach of the Intellectual Property section may cause irreparable harm for which monetary damages would be inadequate. In such cases, we are entitled to seek immediate injunctive or equitable relief in any court of competent jurisdiction.

15. Force Majeure

We will not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including acts of God, labor disputes, internet or utility failures, governmental actions, war, terrorism, pandemics, or other events of force majeure.

16. Liability Cap

To the extent not disclaimed, our aggregate liability arising out of or relating to these Terms or the services will not exceed the greater of (a) the amounts you paid (if any) to use the services in the twelve (12) months preceding the claim, or (b) USD $100.

17. Claim Limitation and Class Action Waiver

Any claim arising out of or related to these Terms or the services must be filed within twelve (12) months after the cause of action accrues, or such claim is permanently barred. To the fullest extent permitted by law, you and UNILEVEL TRADING FZCO agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding.

18. Assignment; Severability; Waiver; Entire Agreement

You may not assign or transfer these Terms without our prior written consent. If any provision is held invalid or unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision will not be deemed a waiver. These Terms constitute the entire agreement between you and UNILEVEL TRADING FZCO regarding the services and supersede any prior agreements.
